Welcome to FoundIT. These Terms of Service ("Terms") govern your access to and use of the FoundIT platform, website, and services (collectively, the "Service") operated by FoundIT ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

FoundIT is a platform that enables users to:

  • Register and track personal items
  • Generate QR codes and printable PDF tags for items
  • Report found items by scanning QR codes
  • Receive notifications when registered items are reported as found
  • Manage item information and contact preferences

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You may register using your email address and password, or through third-party authentication providers such as Google OAuth.

3.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your account information is accurate and up to date

3.3 Account Eligibility

You must be at least 13 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide is accurate and truthful.

4. User Conduct and Responsibilities

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Upload or transmit viruses, malware, or other malicious code

When registering items or providing information, you agree that your content will not:

  • Contain false, misleading, or fraudulent information
  • Be defamatory, obscene, or offensive
  • Violate any person's privacy or publicity rights
  • Contain advertising or promotional material (unless authorized)

5. Item Registration and QR Codes

5.1 Item Information

You are solely responsible for the accuracy and completeness of information you provide about your items. You should only register items that you own or have authority to register.

5.2 QR Code Usage

The QR codes and PDF tags generated by FoundIT are for your personal use in tracking your items. You may print and attach these tags to your belongings. You agree not to use QR codes in any manner that violates these Terms or applicable laws.

5.3 No Guarantee of Recovery

While FoundIT facilitates the reporting of found items, we do not guarantee that lost items will be found or returned. The Service is a tool to assist in item recovery, but success depends on various factors beyond our control.

6. Found Item Reporting

6.1 Public Reporting

Anyone who scans a FoundIT QR code can report an item as found. Reporters are not required to create an account. By using the Service, you consent to this public reporting mechanism.

6.2 Good Faith Reporting

Users who report found items should do so in good faith and provide accurate information. False or malicious reports are prohibited and may result in legal action.

6.3 Contact Information Sharing

When an item is reported as found, the contact information you designated for that item will be shared with the reporter. You are responsible for keeping this information current and appropriate.

7. Intellectual Property Rights

7.1 Our Rights

The Service, including its design, features, graphics, text, and software, is owned by FoundIT and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

7.2 Your Rights

You retain all rights to the content you submit to the Service, including item descriptions and information. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of providing and improving the Service.

7.3 Trademarks

"FoundIT" and our logo are trademarks of FoundIT. You may not use these marks without our prior written consent.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Services

The Service may integrate with or contain links to third-party services, including Google OAuth for authentication. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, policies, or practices of third-party services.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or personal information
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service
  • Any errors or omissions in content
  • Loss or damage to items, whether or not registered with FoundIT
  • Interactions between users or with third parties through the Service

10.3 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless FoundIT, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or item information

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

12.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Technical or security reasons

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and content, though some information may be retained as required by law or for legitimate business purposes. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Dispute Resolution

13.1 Informal Resolution

If you have any dispute with us, you agree to first contact us and attempt to resolve the dispute informally by contacting us at the email address provided below.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. The exclusive venue for any proceedings that are not subject to arbitration shall be the courts located in Lisbon, Portugal.

13.3 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information. This arbitration agreement does not apply where prohibited by law and does not prevent you from bringing an individual action in small-claims court if your dispute qualifies.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree to the modified Terms, you must stop using the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FoundIT regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

15.5 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and FoundIT as a result of these Terms or your use of the Service.

15.6 Notices

We may provide notices to you by email to the address associated with your account, by in-app notifications, or by posting on the Service. You consent to receive communications electronically. You may provide legal notices to us at [email protected].
